Throughout these Terms, references to "Hub", "we", "us", or "our" refer to BayRevive Limited. References to "you" refer to any person or entity accessing or using the Hub platform.
By accessing or using Hub — including browsing our website, creating an account, submitting a business listing, posting an event, or purchasing a ticket — you agree to be bound by these Terms and Conditions and our Privacy Policy.
If you do not agree to these Terms, you must not use Hub.
These Terms constitute a legally binding agreement between you and BayRevive Limited. Where you are using Hub on behalf of a business or organisation, you represent that you have the authority to bind that entity to these Terms.
To create an account or purchase tickets on Hub, you must:
By creating an account, you confirm that you meet these eligibility requirements. We reserve the right to suspend or terminate accounts where eligibility requirements are not met.
You may create an account using an email address and password, or by signing in with your Google account. You agree to provide accurate, current, and complete information during registration and to keep your details up to date.
You are responsible for maintaining the confidentiality of your account credentials and for all activity that occurs under your account. You agree to:
We are not liable for any loss or damage resulting from your failure to maintain the security of your account.
Each individual may hold one personal account. Businesses may hold one business account. Creating multiple accounts to circumvent restrictions or bans is prohibited.
You agree to use Hub only for lawful purposes and in accordance with these Terms. You must not:
Violation of these rules may result in immediate account suspension or termination.
Events submitted to Hub are reviewed by our team before being published. By submitting an event, you confirm that:
We reserve the right to approve, reject, or remove any event listing at our absolute discretion, including where we determine the listing violates these Terms or is otherwise unsuitable for the platform.
Event organisers are solely responsible for the delivery of their event, including:
Hub acts as a marketplace platform only. We are not the organiser or promoter of events listed on the platform.
Organisers may designate events as age-restricted (18+). For such events, you confirm that you are 18 years of age or older at the point of purchase. Event organisers are responsible for verifying the age of attendees at the event. Hub may require age confirmation at checkout but is not responsible for on-site age verification. Tickets purchased for age-restricted events in breach of this clause are non-refundable.
Hub enables event organisers to sell tickets to their events through our platform. Payments are processed by Stripe, a third-party payment processor. Event organisers must complete Stripe Connect onboarding (including identity verification and bank account setup) before receiving payouts from ticket sales.
BayRevive Limited charges a platform fee for facilitating ticket sales. The current fee structure is:

Fees are subject to change. We will provide at least 14 days' notice to active business account holders before changing fee rates.
Payouts to event organisers are processed via their connected Stripe account. Payout timing is subject to Stripe's standard processing times and identity verification requirements. Hub is not responsible for delays caused by Stripe's verification process or banking systems.
All prices displayed on Hub are in New Zealand dollars (NZD). Ticket prices are set by event organisers and are displayed as listed at the time of purchase.
Payments are processed securely by Stripe. By completing a purchase, you authorise the charge to your nominated payment method. All sales are final except where Hub's cancellation and refund policy applies (see Section 9).
Business listings, advertising packages, and subscription tiers (where applicable) are priced as shown in the platform at the time of purchase.
If an event is cancelled by the organiser, ticket buyers are entitled to a full refund of the ticket face value. Hub will process refunds within 10 business days of being notified of the cancellation. The platform service fee may be retained by Hub.
If an event is postponed to a new date, your ticket remains valid for the rescheduled event. If you cannot attend the rescheduled event, you may request a refund by contacting us within 7 days of the postponement being announced.
Unless an event is cancelled or significantly altered, tickets are generally non-refundable. If an organiser offers a refund policy that is more generous than this default, it will be displayed on the event listing.
Where enabled, you may transfer a ticket to another person using Hub's built-in transfer tool. Ticket transfers are final once completed. BayRevive Limited is not responsible for transfers made in error. Transferred tickets retain their original terms and conditions, including any age restrictions.
Nothing in these Terms limits rights you may have under the Consumer Guarantees Act 1993 or the Fair Trading Act 1986. Where those Acts apply, your rights under those Acts take precedence over these Terms.
By creating a business listing on Hub, you confirm that the information you provide is accurate and up to date, and that you have the authority to represent the business. You are responsible for keeping your listing information current.
Hub offers free and paid listing packages. Paid packages (Featured, Premium) provide enhanced visibility on the platform. Package pricing is displayed in the business portal and is subject to change with notice.
Business accounts that wish to sell tickets or receive payouts through Hub must complete Stripe Connect onboarding. This involves Stripe's identity verification process and linking a valid New Zealand bank account. Hub is not responsible for delays or rejections arising from Stripe's verification process.
We reserve the right to remove or suspend business listings that violate these Terms, contain inaccurate or misleading information, or are otherwise deemed unsuitable for the platform.
Registered Hub users may leave reviews for businesses listed on the platform. Reviews must be honest, based on genuine experience, and comply with our acceptable use policy. By submitting a review, you confirm that:
We reserve the right to remove reviews that violate these requirements or that we reasonably believe are fake, malicious, or in breach of the Fair Trading Act 1986.
By submitting content to Hub (including reviews, images, event descriptions, and business information), you grant BayRevive Limited a non-exclusive, royalty-free, worldwide licence to display, reproduce, and distribute that content on the Hub platform and in promotional materials. You retain ownership of your content and may request its removal at any time.
You are solely responsible for the content you submit to Hub. BayRevive Limited is not responsible for user-generated content and does not endorse the views expressed in reviews or listings.
The Hub platform, including its name, logo, design, software, and original content, is owned by or licensed to BayRevive Limited and is protected by New Zealand and international intellectual property laws.
You may not copy, reproduce, distribute, or create derivative works from Hub's proprietary content without our prior written consent. Nothing in these Terms transfers any intellectual property rights to you.
If you believe any content on Hub infringes your intellectual property rights, please contact us at admin@hawkesbayhub.co.nz with details of the alleged infringement.
Your privacy matters to us. Our Privacy Policy explains how we collect, use, and protect your personal information in accordance with the New Zealand Privacy Act 2020. By using Hub, you agree to our Privacy Policy, which forms part of these Terms.
Hub is provided on an "as is" and "as available" basis. While we work hard to keep the platform running smoothly, we do not warrant that Hub will be uninterrupted, error-free, or free from viruses or other harmful components.
Hub is a marketplace platform. We do not verify the accuracy of all event or business information submitted by third parties and are not responsible for errors, inaccuracies, or misleading content in user-submitted listings. You rely on such information at your own risk.
To the fullest extent permitted by applicable law, BayRevive Limited will not be liable for any indirect, incidental, consequential, or punitive damages arising from your use of Hub, including but not limited to:
Our total liability to you in connection with any claim arising from these Terms or your use of Hub will not exceed the amount you paid to Hub in the 12 months preceding the claim.
If you are a consumer within the meaning of the Consumer Guarantees Act 1993, nothing in these Terms limits your rights under that Act. The limitation provisions above apply only to the extent permitted by law.
You agree to indemnify and hold harmless BayRevive Limited, its directors, employees, and agents from and against any claims, liabilities, damages, losses, costs, or expenses (including reasonable legal fees) arising out of or relating to:
You may close your Hub account at any time by contacting us at admin@hawkesbayhub.co.nz. Closing your account does not affect obligations arising from transactions completed prior to closure.
We reserve the right to suspend or permanently terminate your account, with or without notice, if we reasonably believe you have:
Upon termination, your right to access and use Hub ceases immediately. Provisions of these Terms that by their nature should survive termination (including intellectual property, indemnification, and limitation of liability) will continue to apply.
BayRevive Limited will not be liable for any failure or delay in performing our obligations under these Terms where that failure or delay results from circumstances beyond our reasonable control. This includes (but is not limited to): natural disasters, extreme weather events, acts of government, civil unrest, pandemic, power or internet outages, cyberattacks on third-party infrastructure, or any other event outside our control.
If such circumstances prevent us from providing the Hub platform for more than 30 consecutive days, you may terminate your subscription or close your account without penalty.
We take complaints seriously and aim to resolve them fairly and promptly. If you have a complaint about Hub or BayRevive Limited:
These Terms are governed by and construed in accordance with the laws of New Zealand. Any disputes arising from these Terms or your use of Hub will be subject to the exclusive jurisdiction of the New Zealand courts.
We encourage you to contact us in the first instance to resolve any disputes informally. If a dispute cannot be resolved directly, you may seek assistance from the New Zealand Disputes Tribunal for claims under $30,000 NZD or commence proceedings in a New Zealand court of competent jurisdiction.
We may update these Terms from time to time to reflect changes to our services, business model, or applicable law. When we make material changes, we will:
Your continued use of Hub after changes are posted constitutes your acceptance of the revised Terms. If you do not agree to the updated Terms, you must stop using Hub and may close your account.
